Welcome to Zephyr Creek. These Terms and Conditions govern all interactions, services, and transactions between Zephyr Creek LLC (“Zephyr Creek,” “we,” “our,” or “us”) and any party (“you,” “your,” “client,” or “partner”) engaging with our distribution business. By working with us, you agree to the following:
1. Business Eligibility
Zephyr Creek engages exclusively with verified retail businesses, wholesalers, and brand representatives. We do not sell or distribute products directly to individual consumers.
2. Product Availability & Fulfillment
All product availability is subject to current stock and supplier conditions. Zephyr Creek reserves the right to limit quantities, modify offerings, or substitute equivalent products when necessary. We make every effort to ensure accurate fulfillment, but cannot guarantee uninterrupted availability.
3. Pricing & Payment Terms
Prices are subject to change based on market conditions, supplier adjustments, or freight costs. All invoices are due in accordance with the terms stated on each invoice. Late payments may incur a fee of 1.5% per month or the maximum allowed by law.
4. Delivery & Risk of Loss
Zephyr Creek coordinates regional delivery routes as agreed upon during account setup. Risk of loss transfers to the customer upon delivery unless otherwise specified in writing. Any damages or discrepancies must be reported within 48 hours of receipt.
5. Returns & Claims
Return requests must be submitted in writing and pre-approved. Returns are only accepted for damaged, defective, or misdelivered items. Restocking fees may apply. Unauthorized returns will not be credited.
6. Account Termination
We reserve the right to suspend or terminate accounts for non-payment, breach of agreement, misuse of privileges, or behavior inconsistent with our business values or obligations.
7. Intellectual Property
All content on the Zephyr Creek website, including logos, text, and images, is the property of Zephyr Creek LLC. Use of any materials without written permission is prohibited.
8. Limitation of Liability
Zephyr Creek shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or products, including lost profits or business interruptions.
9. Confidentiality
Both parties agree to maintain the confidentiality of sensitive business information, pricing, and distribution terms unless disclosure is required by law.
10. Governing Law
These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the appropriate state or federal courts located in Texas.
